1. Introduction & Acceptance
These Terms & Conditions ("Terms") govern your access to and use of Nairo, a digital financial services platform operated by Supreme Vertex Technologies Limited ("Supreme Vertex", "we", "us", "our"), a company incorporated in the Federal Republic of Nigeria. By creating a Nairo account, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that apply to specific features. If you do not agree, you must not register for or use Nairo.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract under Nigerian law. You must provide accurate, current, and complete information during registration and identity verification (KYC), and keep that information up to date. We may refuse, suspend, or close an account where eligibility cannot be confirmed.
3. The Nature of Our Service
Nairo is an electronic money and payments platform. We are not a deposit money bank. Funds held in your Nairo wallet are safeguarded through licensed partner financial institutions and payment infrastructure providers, and transactions are processed through licensed banking and payment partners. Your relationship with Nairo is that of an e-money/wallet service user, distinct from a traditional bank depositor relationship, though your funds remain identifiable and are not used for our own working capital.
4. Account Registration & Verification (KYC)
Opening a Nairo account requires a valid Nigerian phone number, a working email address, and a secure password and transaction PIN. Depending on the services you use, we may require further identity verification ("KYC"), including a selfie, government-issued identification, or Bank Verification Number (BVN)/National Identification Number (NIN), consistent with Central Bank of Nigeria (CBN) guidelines and the Money Laundering (Prevention and Prohibition) Act. Certain transactions, higher limits, or features may be unavailable until the applicable KYC tier is completed. You are solely responsible for the accuracy of information you submit and for promptly updating us if it changes.
5. Your Account Security
You are responsible for keeping your login password, transaction PIN, device, and any one-time passcodes (OTPs) confidential. You must never share your PIN, password, or OTP with anyone, including anyone claiming to represent Nairo or Supreme Vertex — we will never ask you for these. You must notify us immediately at the contact details below if you suspect unauthorised access to your account, a lost or stolen device, or any transaction you did not authorise. You are liable for transactions properly authenticated with your PIN, password, or verified device unless you can show the loss resulted from our negligence or a security failure on our platform.
6. Fees & Charges
Nairo may charge fees for certain services, including but not limited to bank transfers, airtime and data purchases, bill payments, and card issuance. Applicable fees are disclosed to you before you confirm a transaction. We may introduce new fees or change existing ones with reasonable notice through the app or by email; continued use of Nairo after such notice constitutes acceptance of the revised fees.
7. Transaction Limits & Processing
Transaction and balance limits apply based on your KYC tier and are set in line with regulatory requirements and our own risk controls. We process transactions in good faith based on the instructions and authentication you provide, but we are not liable for delays, failures, or reversals caused by third-party banks, payment switches, telecommunications networks, or circumstances beyond our reasonable control. Where a transaction fails after your account has been debited, the affected amount will be reversed to your wallet once confirmed by our partner rails.
8. Prohibited Activities
You must not use Nairo for any unlawful purpose, including but not limited to: money laundering or terrorism financing; fraud or attempted fraud; funding of prohibited goods or services under Nigerian law; circumventing or attempting to circumvent our KYC, transaction limits, or security controls; or using another person's identity, account, or payment details without authorisation. We reserve the right to freeze, restrict, or close any account reasonably suspected of prohibited activity, and to report such activity to the relevant regulatory or law enforcement authorities as required by law.
9. Virtual Accounts, Cards & Third-Party Rails
Dedicated virtual account numbers, virtual cards, and bank transfer capabilities made available within Nairo are provisioned through licensed partner banks and payment processors. Your use of these features is also subject to the applicable partner's own terms where disclosed to you. We select and monitor our partners with reasonable care but do not guarantee the uninterrupted availability of any third-party rail.
10. Liability & Disclaimers
Nairo is provided on an "as available" basis. While we take reasonable steps to keep the platform secure, accurate, and available, we do not warrant that the service will be uninterrupted or error-free. To the fullest extent permitted by Nigerian law, Supreme Vertex Technologies Limited shall not be liable for indirect, incidental, or consequential losses arising from your use of Nairo, except where such losses arise from our gross negligence, wilful misconduct, or fraud.
11. Suspension & Termination
You may close your Nairo account at any time by contacting us, subject to settlement of any outstanding obligations. We may suspend or terminate your account, with or without notice, where we reasonably believe you have breached these Terms, where required by a regulator or court order, or where we detect activity that poses a fraud, security, or compliance risk. Upon closure, any remaining wallet balance will be returned to you through a verified bank account, subject to completion of any pending investigation.
12. Data Privacy
We collect and process your personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA) and our Privacy Policy. This includes information you provide at registration, KYC documentation, transaction history, and device/usage data collected to secure and improve the service. We do not sell your personal data. We may share data with our licensed partner banks, payment processors, and regulators strictly as necessary to provide the service and comply with the law.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology, or applicable law. Where changes are material, we will notify you through the app or by email before they take effect. Your continued use of Nairo after the effective date of any update constitutes your acceptance of the revised Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with your use of Nairo shall first be addressed through our customer support channels; if unresolved, either party may pursue resolution before a court of competent jurisdiction in Nigeria.
